• Comply with the terms of service of any third-party services (e.g., Google Workspace, Microsoft 365) that you connect to or use in conjunction with our Services.
• Refrain from using our Services for any unlawful or unauthorized purposes, including but not limited to violating intellectual property rights, distributing harmful content, attempting to gain unauthorized access to systems, or interfering with the Services' operation.
• Be solely responsible for the data and content you input into or process through the Services, including ensuring you have the necessary rights and permissions to use such data with our Services.

All content, features, and functionality available on our Website and Platform, including but not limited to text, graphics, logos, icons, images, software, and the underlying AI models (excluding your data processed by them), are the exclusive property of AgentLed or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works of any material from our Services without the prior written consent of AgentLed.

You retain ownership of the data you provide or that is accessed from your connected third-party accounts ("User Data"). For content you actively post, upload, or otherwise submit directly to the public or shared areas of the Service (e.g., community forums, if applicable, but excluding your private User Data processed solely for service functionality), you grant AgentLed a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such specific content solely for the purpose of operating and improving those specific areas of the Service. For clarity, the processing of your User Data (including data from integrated services like Google Workspace or Microsoft 365) for the core functionality of the Services is governed by our Privacy Policy. The license granted in this section does not override the specific data usage limitations, particularly regarding AI/ML model training and data sharing/transfer restrictions for integrated service data, as detailed in our Privacy Policy. You represent and warrant that you own or have the necessary rights and consents to provide and process all User Data through our Services and that doing so does not violate the rights of any third party or any applicable laws. AgentLed reserves the right, but not the obligation, to remove or modify any user-generated content that violates these Terms or is otherwise objectionable.

AgentLed reserves the right to terminate or suspend your access to our Services, in whole or in part, at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AGENTLED DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. TO THE FULLEST EXTENT PERMITTED BY LAW, AGENTLED, ITS AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES, EVEN IF AGENTLED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL AGENTLED'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED EUROS (EUR €100), WHICHEVER IS GREATER. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES.

You agree to indemnify, defend, and hold harmless AgentLed, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services (including, but not limited to, any use of the Service's content, services, and products other than as expressly authorized in these Terms), your User Data, or your violation of any law or the rights of a third party (including the terms of service of any integrated third-party platform).

These Terms and any disputes arising out of or relating to these Terms or your use of our Services shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts located in Paris, France, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
